1. Agreement to Terms

By accessing or using the website and services of 365 Neo Digital Services (“Company”), you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you must not use our services.

2. Services

We provide web development, mobile app development, UI/UX design, cloud solutions, enterprise software, and IT consulting services. The scope of each project is defined in individual project proposals or contracts agreed upon between you and the Company.

3. Client Portal & Accounts

• You must provide accurate and complete information when creating an account.
• You are responsible for maintaining the security of your account credentials.
• You must notify us immediately of any unauthorized use of your account.
• We reserve the right to suspend or terminate accounts that violate these terms.

4. Project Engagement

• All projects begin with a formal proposal outlining scope, timeline, deliverables, and costs.
• Changes to project scope (scope creep) may result in additional charges and timeline adjustments.
• We follow agile methodologies with regular progress updates and client feedback cycles.
• Clients are expected to provide timely feedback, content, and approvals to maintain project timelines.

5. Payment Terms

• Payment terms are defined in individual project proposals, typically milestone-based (30-40-30).
• Invoices are due within 15 days of issuance unless otherwise specified.
• Late payments may incur a 2% monthly interest charge.
• We accept bank transfers, credit cards, UPI, and digital payment platforms.
• All prices are exclusive of applicable taxes unless explicitly stated.

6. Intellectual Property

• Upon full payment, all custom-developed code and assets are transferred to the client.
• Open-source components used remain under their respective licenses.
• We retain the right to showcase the project in our portfolio unless agreed otherwise.
• Pre-existing tools, frameworks, and libraries remain the property of their respective owners.

7. Warranties & Support

• We warrant that deliverables will substantially conform to agreed specifications.
• Bug fixes for delivered software are provided free of charge during the warranty period.
• Post-warranty support is available through maintenance contracts at agreed rates.
• We do not guarantee specific business outcomes, rankings, or revenue from our services.

8. Limitation of Liability

To the maximum extent permitted by law, 365 Neo Digital Services shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from the use of our services.

9. Confidentiality

Both parties agree to keep all proprietary and confidential information received during the course of the engagement strictly confidential. This includes project specifications, business data, code, and any other sensitive information. NDA agreements are available upon request.

10. Termination

Either party may terminate the engagement with 30 days written notice. In case of termination, the client is responsible for payment for all work completed up to the termination date. All deliverables completed will be transferred upon receipt of payment.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts in India.
